1. Loan Overview

Buildara, Inc. offers installment financing to qualified partner applicants for the one-time setup fee. This is a fixed-rate, fixed-term installment loan with no prepayment penalty.

2. Eligibility Requirements

• Minimum FICO credit score of 650 (verified via soft credit inquiry)
• Valid US Social Security Number (last 4 digits required for credit check)
• Active checking or savings account for ACH payments
• Approval of Buildara partner application
• Must be at least 18 years of age and a US resident

3. Payment Terms

3.1 Payment Method — ACH (Primary)

Loan payments are debited automatically via ACH on the 15th of each month. The borrower authorizes Buildara, Inc. to initiate ACH debits for the full loan term.

3.2 Backup Payment — Credit/Debit Card

If an ACH payment fails (insufficient funds, closed account, or bank error), Buildara will attempt to charge the backup credit or debit card on file. If both ACH and card payment fail, the payment is considered late.

3.3 Late Payments

• Grace period: 5 business days after the due date
• Late fee: $50 per missed payment after grace period
• After 30 days past due: technology platform access may be suspended
• After 45 days past due: account referred to collections
• After 60 days past due: full remaining balance becomes due immediately

3.4 Early Payoff

You may pay off the remaining loan balance at any time with no prepayment penalty. Contact partners@buildara.ai or pay through your partner dashboard.

4. Technology Access

Your access to the Buildara technology platform (including LivingSite, FoodPulse, ChefMarket, AI agents, and partner dashboard) is contingent upon:

• Active subscription payments (monthly platform fee) in good standing
• Loan payments current and not more than 30 days past due
• Compliance with the Buildara Partner Agreement

If your account is suspended due to non-payment, your customers will continue to be served by Buildara during the suspension period. Revenue share payouts will be held until the account is brought current.

5. Default & Remedies

A loan is considered in default if:

• Any payment is more than 45 days past due
• The borrower provides false information on the application
• The borrower files for bankruptcy
• The borrower fails to maintain a valid payment method on file

Upon default, Buildara reserves the right to accelerate the full remaining balance, suspend technology access, withhold earned revenue share payments, and refer the account to a third-party collection agency. Borrower is responsible for all collection costs, including reasonable attorney fees.

6. ACH Authorization

By providing your bank account information, you authorize Buildara, Inc. to:

• Initiate recurring ACH debit entries for loan payments
• Initiate ACH debit entries for monthly subscription fees
• Initiate ACH credit entries for revenue share deposits
• Correct any erroneous entries

This authorization remains in effect until the loan is paid in full. You may revoke ACH authorization with 30 days written notice, but doing so does not cancel the loan obligation — alternative payment arrangements must be made.

7. Governing Law

This loan agreement is governed by the laws of the State of Georgia. Any disputes shall be resolved through binding arbitration in Fulton County, Georgia under the rules of the American Arbitration Association. Each party waives the right to a jury trial.
